1. Who you are contracting with
Overspan is operated by Miju Limited (NZBN 9429030242173) of PO Box 406, Wānaka 9343, New Zealand ("Overspan", "we", "us"). "You" means the person or organisation holding an Overspan API key.
Payments are processed by Lemon Squeezy, who act as the merchant of record and are therefore the seller of record for your subscription. Their terms apply to the payment transaction itself, and your card details are held by them, never by us.
2. What the service is
Overspan is a hosted instance of the open-source Overpass API software, serving OpenStreetMap data over an authenticated HTTP endpoint. We are an independent commercial service and are not affiliated with, endorsed by, or connected to the OpenStreetMap Foundation, the OpenStreetMap project, or the Overpass API project.
3. Your key
Access is by API key. There is no account and no login: the key is the identity, so anyone holding it can use your allowance. You are responsible for keeping it secret and for all use made of it.
Tell us promptly if a key is exposed and we will replace it. We may rotate or revoke a key without notice if we believe it has been compromised or is being used in breach of these terms.
4. Acceptable use
You agree not to:
- share, resell, sublicense, or otherwise provide raw API access to third parties as a substitute for their own subscription. Using the data inside your own product or research is exactly what the service is for and is not "reselling";
- attempt to circumvent quotas, rate limits, concurrency limits, or query caps, including by holding multiple subscriptions to defeat a single tier's limits;
- attack, probe, overload, or attempt to gain unauthorised access to the service or its infrastructure;
- use the service in a way that breaches the OpenStreetMap data licence, or applicable law, or that infringes anyone's rights;
- use the service to build a substantially similar competing Overpass hosting product from our infrastructure.
5. Limits
Each tier carries a monthly request quota, a per-minute rate limit, a concurrency limit, and per-query timeout and size caps. Current figures are published on the pricing section and in the documentation, and are enforced at the point of request.
Limits are hard. Exceeding one produces an error, never an overage charge. We do not bill for usage above your tier.
We may change published limits and prices for future billing periods on reasonable notice. No change applies to a period you have already paid for.
6. The data, and your obligations with it
The map data served is OpenStreetMap data, licensed under the Open Database License (ODbL). Your subscription pays for hosting, access, and operation. It does not grant you any rights in the data itself beyond those the ODbL already gives everyone, and it does not relieve you of the ODbL's conditions.
You are responsible for meeting those conditions in whatever you build. In practice: if you publish something people are not meant to extract the data back out of (a map image, an app, an analysis), you must credit OpenStreetMap visibly, with access to openstreetmap.org/copyright; the usual form is "© OpenStreetMap contributors" as a link. If you publish something intended for extraction of the data (a dataset, or a database of your own built on it), that database must itself be offered under the ODbL. The OpenStreetMap Foundation publishes attribution and community guidelines covering the borderline cases.
7. Billing
Subscriptions are billed in advance, monthly or annually, in the currency shown at checkout. Taxes are handled by Lemon Squeezy as merchant of record, and any GST, VAT, or sales tax will be shown at checkout and on your receipt.
If a renewal payment fails, we do not cut you off immediately. Lemon Squeezy will retry over a short window, and your key keeps working during that window. If payment is never recovered, the subscription expires and the key stops working.
8. Cancelling and refunds
You can cancel at any time from the billing portal. Your key continues to work until the end of the period you have already paid for, and is deactivated at the end of that period. There is no notice period and nothing to fill in.
If Overspan is not working out, email us within 14 days of your first purchase and we will refund it in full. After that, we do not offer pro-rata refunds for part-used periods.
9. Availability, and the beta
The service is currently offered as a beta. Correctness, data freshness, and metering are operated to production standard. Throughput and redundancy are not yet what they will be, and the pricing reflects that.
There is no service level agreement at this time, and no uptime commitment, credits, or guaranteed response times. The service is provided on an "as is" and "as available" basis. When an SLA is introduced it will be published and will apply from a stated date, not retrospectively.
We will carry out maintenance, sometimes without notice. We aim to tell you about anything significant at hello@overspan.dev or on the site.
10. Suspension and termination
We may suspend or terminate access immediately if you breach these terms, if your usage threatens the stability of the service for others, or if we are required to by law. Where the problem is fixable and not urgent, we will contact you first.
We may also discontinue the service entirely. If we do, we will give you at least 30 days' notice by email and refund any period paid for but not delivered.
11. Changes to these terms
We may update these terms. Material changes will be notified by email to the address on your subscription at least 30 days before they take effect. Continuing to use the service after that date means you accept the new terms; if you do not, cancel before then and the old terms govern the rest of your paid period.
12. Liability
Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot lawfully be limited. If you are a consumer, your statutory rights are unaffected. If you acquire the service for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply, as permitted by section 43 of that Act.
Otherwise, and to the extent the law allows: we are not liable for indirect or consequential loss, loss of profit, loss of data, or business interruption; and our total liability for any claim is limited to the fees you paid us in the 3 months before the claim arose.
We do not warrant that OpenStreetMap data is accurate, complete, or fit for any particular purpose. It is community-contributed data and we pass it through faithfully rather than correcting it. Do not use it as the sole input to anything safety-critical.
13. Governing law
These terms are governed by the laws of New Zealand, and the courts of New Zealand have exclusive jurisdiction, subject to any non-excludable rights you have where you live.
